Thank you for choosing our products and services (collectively, "Services"). These Services are provided by Paiteams Tech Limited (hereinafter referred to as "Technology Service Provider" or "we"). Paiteams Tech Limited is a company incorporated in Hong Kong with its principal place of business in Hong Kong (Registration number: 78112310).

Before using our Services, please carefully read, understand, and agree to these Terms of Service and our Privacy Policy, which forms an integral part thereof. These documents together constitute the legal agreement between you and Paiteams Tech Limited.

By accessing, registering, downloading, installing, or otherwise using any of our Services, you confirm that you have read, understood, and agreed to be bound by these terms and undertake to comply with all applicable laws and regulations. If you do not agree to any part of these terms and the Privacy Policy, please stop using our Services immediately. Your continued use signifies your agreement to the entire content of this agreement.

1. Product Usage

1.1 Account Creation and Access

To use our Services, you must be 13 years of age or older, or the minimum age required by law in your country or region. If you are under 18, you need to obtain explicit permission from your parent or legal guardian before using our Services.

When registering an account, you agree to provide true, accurate, current, and complete information. You are responsible for safeguarding your account information (including username and password) and for its security. Sharing your account or allowing others to use it is strictly prohibited. You are fully responsible for all activities that occur under your account. If you discover any unauthorized or unusual use of your account, please notify us immediately. We will take necessary measures to suspend access to the affected account and help prevent further misuse.

If you create an account or use the Services on behalf of another person or entity, you must have the legal authority to accept these terms on their behalf.

1.2 Usage Policy

1.2.1 General Restrictions

You are prohibited from using the platform services to upload, post, transmit, or disseminate any unlawful, infringing, or inappropriate content, including but not limited to the following content and actions:

  1. Upload, post, email, or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;

  2. Harm us or third parties in any way;

  3. Impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity;

  4. Upload, post, email, or otherwise transmit any material that you do not have a right to transmit under any law or contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

  5. Upload, post, email, or otherwise transmit any material that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;

  6. Upload, post, email, or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;

  7. Upload, post, email, or otherwise transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;

  8. Interfere with or disrupt the website, services, or servers or networks connected to the website or services, or disobey any requirements, procedures, policies, or regulations of networks connected to the website or services;

  9. Intentionally or unintentionally violate any applicable local, state, national, or international law or regulation;

  10. Collect or store personal data about other users unless legally authorized under applicable law or with the user's explicit consent.

Violation of these terms may result in the suspension or termination of your account and may subject you to corresponding legal liabilities.

1.2.2 Account Abuse-Related Restrictions

Paiteams provides users with limited free usage quotas (e.g., 7.5 per day, up to 25 cumulative per month) for trial and personal use only. You may not acquire, transfer, or redeem these quotas through fraudulent registration, bulk or multiple account creation, exploitation of vulnerabilities, technical circumvention, or any method designed to bypass applicable usage limits, quotas, or billing restrictions. If Paiteams has reasonable grounds to suspect a violation, it may, at its sole discretion and without prior notice:

  1. Freeze or terminate accounts;

  2. Restrict or suspend service access or specific IP addresses;

  3. Cancel unused free quotas.

Paiteams reserves the right to pursue all additional legal or equitable remedies against any account involved in such violations.

1.3 Restrictions

You must comply with all applicable laws when using our website or Services. Except as expressly permitted by applicable law, or expressly authorized in writing by Paiteams, you may not, and may not permit others to:

  1. Use any automated tools (e.g., bots, crawlers) to access or use our Services;

  2. Rent, lease, or sublicense your access to the Services to others;

  3. Circumvent or disable any digital rights management, usage rules, or security features of our Services;

  4. Use our Services in a way that could overload or threaten their integrity, performance, or availability;

  5. Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on any part of our Services or any Paiteams content.

1.4 Links and Third-Party Content

Our website may display or include links to third-party products, services, and websites. Any information (collectively, "Third-Party Content") expressed, written, or provided by other users or third parties on our website, or accessible or locatable through our Services, belongs to their respective authors or producers, and not to us or our shareholders, directors, officers, employees, agents, or representatives. We do not control Third-Party Content, nor do we guarantee its accuracy, completeness, or quality. We are not responsible for the performance of any Third-Party Content, and we do not endorse, nor are we responsible or liable for any Third-Party Content or any information or materials advertised in any Third-Party Content.

By using or viewing our website, you may be exposed to offensive, indecent, or objectionable content. We are not liable for any direct or indirect damages or losses you incur due to your use of or reliance on any third-party services or goods, services, or information provided on or through their Third-Party Content. It is your responsibility to evaluate Third-Party Content. By using our website, you accept the above terms and assume the risks associated with using Third-Party Content.

2. Paid Services

2.1 Product Subscription Disclaimer

Users understand and agree that Paiteams is a digital software service that involves costs associated with LLM model API usage and server operations. We provide daily free usage quotas and tutorials to help you fully experience and understand the product's features and limitations before purchasing. Please take the time to carefully read the relevant information provided in the help center and app world before subscribing.

2.2 Automatic Renewal

By subscribing to our Services, you authorize us to automatically renew your subscription at the end of each billing cycle using your stored payment method, unless you cancel your subscription before the renewal date. If you do not cancel before the renewal date, you agree to pay for the next billing cycle.

2.3 Paiteams VIP Service Refund Policy

Paiteams is a digital service that involves costs associated with LLM model API usage and server operations. Given that our services are delivered digitally and are immediately available upon subscription, once service delivery begins (i.e., service usage or quota consumption), all subscription fees are generally non-refundable. We do not offer refunds or credits for partially used periods, nor do we offer refunds or compensation for gifted credits.

If you believe there was an error in subscribing to Paiteams VIP services, you may be eligible for a refund if you meet all of the following conditions:

  1. Submit your application within the refund window:

    • For EU, UK, or Turkey users: Within 14 days from the time of charge or the start of your quota consumption (whichever occurs first).

    • For all other users: Within 24 hours from the time of charge or the start of your quota consumption (whichever occurs first).

  2. The service has not actually been used:

    • Our team has verified and confirmed that you have not generated any service call records within the refund window (as determined by system logs).

    • Considering the high operating costs of existing LLM and server infrastructure, users who have generated any service call records will not be eligible for a refund.

    • For EU and UK users: You expressly acknowledge that once the service begins to be used or quotas are consumed, you waive any right of withdrawal without cause that you may have under applicable law.

Exceptional Circumstances: We are responsible for providing normal product services. If the product has a serious bug that affects your interests, you have the right to request a refund. You need to provide sufficient evidence to prove the existence of the product bug and the resulting loss of interests. We will promptly address the issue and provide reasonable compensation.

2.4 Refund Application Process

To apply for a refund, please send an email to service@paiteams.com and include:

  • Your order information (account number, order number, purchase date, amount, invoice)

  • Reason for the refund request

  • Your contact information

2.5 Refund Processing

Refund requests will be reviewed within five business days. If your refund application is approved, Stripe will process the refund within five to ten business days and return it to your original payment account.

3. Service Termination

You can stop using the Services at any time. We reserve the right to suspend or terminate your access to the Services at any time if:

  1. We believe you have materially breached these terms;

  2. We are required to do so to comply with applicable law, a court order, or a government request; or

  3. Immediate suspension or termination is required for security reasons, so we cannot provide notice.

Unless prohibited by law or required by urgent security circumstances, we will generally attempt to provide reasonable notice before terminating your service.

If we terminate your access to the Services due to your material breach of these terms, and you have a subscription:

  1. You will not be entitled to any refund; and

  2. We may take further legal action against you, and you may be liable for losses incurred by us as a result of your breach of these terms.

We may also terminate your account if you have been inactive for more than a year and do not have a paid account. If we decide to terminate your account due to inactivity, we will notify you by email 30 days in advance. If you have a subscription, we may terminate the subscription at any time by giving you 30 days' advance notice in writing (email is sufficient). If we exercise this right, we will refund you a pro-rata amount for the remaining part of your subscription after termination.

Upon termination of these terms, your subscription, or your access to the Services, all rights granted to you by these terms (or any subscription) to access and use our Services will immediately cease. We reserve the right to delete or retain materials or data associated with your account at our sole discretion, in accordance with our Privacy Policy.

4. Data and Privacy

Your privacy is very important to us. Please refer to our detailed Privacy Policy regarding how we collect, use, store, share, and protect your personal data, as well as your rights under applicable data protection laws (including but not limited to the Hong Kong Personal Data (Privacy) Ordinance, the EU General Data Protection Regulation (GDPR), and the UK General Data Protection Regulation (UK GDPR)). The Privacy Policy is an integral part of these Terms of Service.

By using our Services, you understand and agree that your personal data may be collected, processed, and transferred internationally as described in the Privacy Policy.

5. Intellectual Property

5.1 Our Rights

Paiteams Tech Limited owns and retains all rights, title, and interest in the following:

5.1.1 Brand Elements

  • "Paiteams" name and brand

  • "paiteams.com" domain name and all related domains and variations

  • "Paiteams" trademarks and brand and variations

  • All Paiteams logos, designs, and visual elements

  • All marketing materials and website content

5.1.2 Platform Elements

  • Website architecture and design

  • All platform functionalities

  • Our proprietary algorithms and systems

  • User interface and experience design

  • All documentation and support materials

5.1.3 Website Content

  • All text, graphics, videos, and media on paiteams.com

  • Blog posts, documentation, and guides

  • Marketing materials and promotional content

  • Interface elements and design components

These elements are protected by copyright, trademark, trade dress, patent laws, and other intellectual property laws.

5.2 Clear Distinction of Rights

For clarity, while Paiteams owns all rights to the platform and brand elements mentioned above, this ownership is entirely separate from and does not extend to:

  • User-generated content

  • Code generated using our platform

  • Applications built using our tools

  • Custom configurations and implementations

  • Modifications or derivative works created from generated code

  • Your own code submissions and changes submitted or visible in any way outside of Paiteams

5.3 User Rights

Paiteams does not claim ownership of the following:

  • All content (including code) generated using our Services

  • Custom implementations and modifications

  • Derivative works based on generated code

  • Your business logic and application structure

5.3.1 Right of Use

You are free to:

  • Commercially use all generated content (including code)

  • Modify and adapt generated code

  • Distribute generated code in any form

  • Open source your implementation

For clarity:

  • Paiteams does not impose any restrictions on your use of generated code

  • You may freely use, modify, and distribute generated code without attribution requirements, provided it does not violate these Terms of Service and applicable laws

  • Paiteams users are not required to pay any license fees or royalties to Paiteams for using generated code

  • Your implementations and modifications are under your control

  • You may combine generated code with other sources without Paiteams' approval

6. Feedback

We may provide you with a mechanism to optionally provide feedback, suggestions, and ideas about our website or Services ("Feedback"). You agree that we may use the Feedback you provide to us in any way at our sole discretion, including in future enhancements and modifications to our website or Services. You hereby grant us and our assignees a perpetual, worldwide, fully transferable, sublicensable, irrevocable, royalty-free license to use, reproduce, modify, create derivative works from, distribute, and display the Feedback in any manner and for any purpose, in any media, software, or technology type now known or hereafter developed, without attribution or compensation to you or any third party.

7. User Obligations

7.1 Your Obligations Regarding Intellectual Property

You are responsible for ensuring that all information and data you provide or upload, as well as all materials or results used or generated from the platform, do not infringe on the rights of third parties. If a third party raises concerns or disputes with us due to your provided content or actions arising therefrom, you agree to promptly address and resolve the matter. You will be responsible for any financial losses we incur as a result, which may include costs, compensation, and other related expenses.

7.2 Your Obligations Regarding End Users

You agree that our services are provided specifically to you. Any individual who accesses or uses your content is considered your "end user." We have no direct relationship with your end users. You are solely responsible for how you handle end-user data and personal information and for ensuring that your actions comply with all applicable data protection laws and regulations.

7.3 Indemnification Liability

If your actions cause us, our affiliates, or our employees (including but not limited to directors, officers) to incur liability to any third party, face penalties from government agencies, or suffer other financial losses or reputational damage, you shall indemnify us, our affiliates, and our employees for all losses incurred as a result.

8. Disclaimer and Limitation of Liability

8.1 Deployment Disclaimer

When users publish or deploy application content generated by Paiteams, the deployment link may contain the company's product name, such as "Paiteams." The company hereby expressly states that the appearance of the word "Paiteams" in such links does not imply any form of endorsement or authorization by the company for the application content published by the user.

8.2 No Warranties

Your use of the Services and materials is entirely at your own risk. This product is provided "as is" without any express or implied warranties. This includes, but is not limited to, warranties of merchantability, fitness for a particular purpose, title, accuracy, availability, reliability, security, privacy, compatibility, non-infringement of third-party rights, and any warranties implied by course of dealing, course of performance, or trade usage. We and our providers expressly disclaim any and all such warranties.

8.3 Disclaimer and Limitation of Liability

In no event shall the Company be liable for any direct, indirect, special, incidental, or consequential damages arising out of the use or inability to use this product.

In no event shall our and our suppliers' and licensors' total liability arising out of or related to your use of the website, Services, and Paiteams content (including but not limited to warranty claims), regardless of the forum, and regardless of whether any action or claim is based on contract, tort, or otherwise, exceed the amount, if any, paid by you to us for the use of the website, Services, and Paiteams content during the twelve-month period preceding the event giving rise to such claim or action.

Please note that some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

9. Revisions

We reserve the right to modify the terms of this agreement as needed to reflect changes in our services, legal or regulatory requirements, and other business developments. Any revisions will be formally communicated by posting a notice on our website or within the product interface, and the revision date will be reflected in the "Effective Date" provided below. If such changes significantly affect your rights or obligations and are required by applicable law, we will notify you through more prominent means (e.g., in-service notification or email). Unless otherwise required by applicable local law, your continued use of Paiteams Services after the revised terms of service become effective signifies your agreement to the revised terms.

10. Miscellaneous

10.1 Interpretation

The Technology Service Provider reserves the sole right to interpret the terms of this agreement, provided such interpretation is within the scope of applicable law.

10.2 Severability

If any part of this agreement is found to be invalid or unenforceable under any applicable law, the remaining parts shall remain in full force and effect.

10.3 Dispute Resolution and Governing Law

This agreement shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles.

Any dispute, controversy, difference, or claim arising out of or relating to this agreement, including its existence, validity, interpretation, performance, breach, or termination, or any dispute arising out of or relating to non-contractual obligations, shall be referred to and finally resolved by arbitration in Hong Kong administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.

For EU and UK users: You may also submit a complaint through the online dispute resolution (ODR) platform provided by the European Commission. This platform can be accessed at https://ec.europa.eu/consumers/odr.

10.4 Entire Agreement

These Terms of Service and the Privacy Policy together constitute the entire agreement between you and Paiteams Tech Limited regarding your use of our Services and supersede any and all prior oral or written agreements between you and us concerning this subject matter.
